Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the Fintradax website, platform, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

The Service is provided by InnoMotus, trading as Fintradax, registered in Amsterdam, Netherlands ("we," "our," or "us"). If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Eligibility

The Service is intended for business use by professionals, firms, and organisations. You must be at least 18 years of age to use the Service. By creating an account, you confirm that you meet this requirement and that the information you provide is accurate and complete.

3. Account Registration

To access certain features of the Service, you must create an account. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Notifying us immediately of any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be compromised.

4. Services Provided

Fintradax provides a compliance platform that includes:

• KYC (Know Your Customer) identity verification.
• KYB (Know Your Business) corporate verification with UBO discovery.
• AML (Anti-Money Laundering) screening against sanctions lists and PEP databases.
• Risk scoring and audit trail functionality.
• API access for integration with third-party systems.
• White-label branding options (Enterprise plan).

The specific features available to you depend on your subscription plan. Feature details are described on the Pricing page and may be updated from time to time.

5. Subscription Plans and Pricing

The Service is offered on a subscription basis. By subscribing to a plan, you agree to:

• Pay the applicable fees as published on our website at the time of subscription.
• Provide accurate billing information.
• Authorise recurring charges for your chosen billing cycle.

Prices are listed in Euros (€) and are exclusive of applicable taxes unless otherwise stated. We reserve the right to change pricing with 30 days' notice to existing subscribers.

6. Payments and Billing

Payments are processed securely through Stripe. By providing payment information, you authorise us to charge your payment method on a recurring basis according to your billing cycle.

• Subscriptions are billed monthly in advance.
• Overage charges for additional verifications are billed at the end of each billing cycle.
• Failed payments may result in temporary suspension of your account.
• All fees are non-refundable unless otherwise required by applicable law.

7. Cancellation

You may cancel your subscription at any time from your account settings or by contacting us. Upon cancellation:

• Your access continues until the end of the current billing period.
• No further charges will be made after the current period ends.
• Your data will be retained for 30 days after account closure, after which it will be permanently deleted unless legal retention requirements apply.

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Submit false, misleading, or fraudulent information.
• Attempt to gain unauthorised access to any part of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Reverse-engineer, decompile, or disassemble any aspect of the Service.
• Use the Service to facilitate money laundering, terrorism financing, or other financial crime.
• Resell, sublicense, or redistribute the Service without our written consent.

We reserve the right to suspend or terminate your access if we determine, in our sole discretion, that you have violated these terms.

9. Data and Compliance

Fintradax processes personal data in accordance with our Privacy Policy and applicable data protection laws, including GDPR.

When you use the Service to process compliance data on behalf of your clients (identity documents, corporate documents, UBO information), you act as the data controller and we act as the data processor. You are responsible for ensuring that you have the appropriate legal basis and consent to submit such data to the platform.

We process compliance data solely for the purpose of providing the Service and in accordance with your instructions as the data controller.

10. Intellectual Property

All intellectual property rights in the Service — including the software, design, content, trademarks, and documentation — are owned by Fintradax or our licensors. Your subscription grants you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes.

You retain ownership of all data you submit to the Service. By submitting data, you grant us a limited licence to process it solely for the purpose of providing the Service.

11. White-Label Terms

If you subscribe to the Enterprise plan with white-label features:

• You are responsible for the branding, domain, and email configuration applied to your tenant.
• You must not misrepresent the origin of the Service or imply that Fintradax's technology is your own proprietary creation.
• We retain all underlying intellectual property rights in the platform.

12. API Usage

If you access the Service via our API, you agree to:

• Use API keys securely and not share them with unauthorised parties.
• Comply with any rate limits and usage guidelines provided in our API documentation.
• Not use the API to build a competing product or service.

13. Service Availability

We aim to maintain 99.5% platform uptime. However, we do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide reasonable advance notice).
• Circumstances beyond our control, including force majeure events.
• Emergency security patches or updates.

14. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "as is" without warranties of any kind, whether express or implied.
• We do not warrant that compliance data, verification results, or screening outcomes are error-free. You are responsible for reviewing and acting on the results provided by the platform.
• Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.
• We shall not be liable for indirect, incidental, consequential, or punitive damages.

15. Indemnification

You agree to indemnify and hold Fintradax harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your breach of any applicable law or regulation.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to registered users or by notice on our website at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.
